  1. Acceptance of Terms
    By accessing or using the Assemble mobile application and associated services (collectively, the “Service”), you agree to be bound by these Terms of Use (“Terms”). If you do not agree to these Terms, you may not access or use the Service.
  2. Account Registration & Security
    Eligibility: You must be at least 18 years old (or the legal age of majority in your jurisdiction) to register for an account and use the Service.
    Account Responsibility: You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use.
  3. Payment Processing & Stripe Requirements
    Stripe Account Requirement: Any user sending, receiving, or facilitating financial transactions through the Service (including, but not limited to, event hosts, vendors, sponsors, and attendees) is required to set up, connect, and maintain an active account with Stripe, our third-party payment processor.
    Transaction Fees: By conducting financial transactions on the Service, you acknowledge and agree that you are solely responsible for all applicable payment processing fees charged by Stripe and/or the app for processing each transaction.
    Third-Party Terms: All payment processing is subject to the Stripe Connected Account Agreement, which includes the Stripe Terms of Service. By agreeing to these Terms or continuing to operate as a user on Assemble, you agree to be bound by Stripe’s rules and terms as updated from time to time.
    Non-Collection of Financial Credentials: The Service does not store, collect, or retain credit card, banking, or financial account credentials on its servers. All payment processing and payout routing are handled directly by Stripe.
  4. User Conduct & Content
    You agree not to use the Service for any unlawful purpose or in violation of any local, state, national, or international law.
    You retain ownership of any content you upload, post, or submit to the Service. However, by submitting content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, and display such content solely to operate and improve the Service.
  5. Intellectual Property Rights
    All software, design elements, text, graphics, logos, and features comprising the Service are the exclusive property of Assemble Software Inc. (or its licensors) and are protected by applicable intellectual property laws.
  6. Termination
    We reserve the right to suspend or terminate your access to the Service at our sole discretion, without notice, for conduct that we believe violates these Terms or is harmful to other users or the business interests of the Service.
  7. Subscription Fees, Ticket Sales and Refund Policy Event Owners who purchase a subscription to access features or host events on the Service are billed on a recurring basis. Because this is a non-profit platform, all subscription fees and charges are strictly non-refundable, and all sales are final. Assemble does not offer prorated refunds, credits, or fee adjustments for partially used subscription periods, unused features, or account cancellations prior to the end of a billing cycle. Assemble facilitates payment processing for event tickets via third-party services (such as Stripe) and does not store, process, or retain financial transaction data or ticket funds on its servers.
    • 7a. Host Discretion: All ticket sales, refund policies, cancellations, and event modifications are determined solely by the respective Event Owner/Host.
    • 7b. Refund Requests: Attendees seeking a refund for a ticket purchase must contact the Event Owner/Host directly. Assemble does not manage, arbitrate, issue, or guarantee refunds for ticket sales.
    • 7c. No Financial Liability: Assemble is not responsible or liable for any disputes, chargebacks, or unreturned funds arising between Event Owners and ticket buyers.
  8. Disclaimer of Warranties
    TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.
  9. Limitation of Liability
    TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL THE COMPANY, ITS DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNATIVE DAMAGES. OUR AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY YOU TO THE COMPANY IN THE TWELVE (12) MONTHS PRIOR TO THE ACT GIVING RISE TO LIABILITY.
  10. Indemnification
    You agree to defend, indemnify, and hold harmless the Company and its personnel from and against any claims, liabilities, losses, damages, or costs (including legal fees) arising out of or related to your breach of these Terms, your User Content, or your misuse of the Service.
  11. Modifications to Terms
    We reserve the right to modify or update these Terms at any time. We will notify you of material changes by posting the updated Terms within the App or via email. Continued use of the App following the posting of changes constitutes your acceptance of the revised Terms.
  12. Governing Law & Dispute Resolution
    These Terms shall be governed by and construed in accordance with the laws of the operating jurisdiction of the administering business entity, without regard to its conflict of law principles.
